1. Eligibility 

Collaboration with Bliyt as a seller is available exclusively to legally registered legal entities — corporations, limited liability companies, joint-stock companies, or any other form of legal entity recognized by applicable law (pursuant to § 14 BGB — Unternehmer, definition of a business entity).

✅ General Eligibility Criteria:

To become a seller on the Bliyt platform, the entity must cumulatively meet the following conditions:

  • Be legally registered in its country of origin and hold a valid registration number
  • Have the legal capacity to enter into commercial contracts
  • Not be subject to insolvency proceedings, liquidation, or suspension of business activities
  • Hold the legal rights to the products or services offered for sale on the platform

🇩🇪 Sellers Based in Germany — Primary Market:

Sellers headquartered in Germany must provide:

  • Handelsregisternummer (HRB/HRA) — registration number in the German Commercial Register
  • Umsatzsteuer-Identifikationsnummer (USt-IdNr.) — valid German VAT identification number
  • Details of the legal representative authorized to sign commercial contracts
  • Compliance with the provisions of HGB (Handelsgesetzbuch) and BGB (Bürgerliches Gesetzbuch)

🌍 Sellers from Other EU Countries and International Markets:

Sellers headquartered outside Germany must provide:

  • The equivalent registration number from their country of origin
  • A valid intra-community VAT number (for EU-based sellers) or the applicable fiscal equivalent (for non-EU sellers)
  • Proof of compliance with local commercial legislation
  • Express acceptance that the agreement is governed by German law (pursuant to the Rome I Regulation — EU 593/2008)

🚫 Private Individuals:

Private individuals (Privatpersonen) are not eligible to become sellers on the Bliyt platform, regardless of the nature of their activity (pursuant to § 13 BGB — definition of a consumer, excluded from the category of eligible sellers).

📋 Validation Process:

Bliyt reserves the right to verify and validate the documents provided prior to activating a seller account and to reject any registration application that does not meet the eligibility criteria, without any obligation to provide reasons for such decision. The validation process may take up to 10 business days from the submission of complete documentation.

🔄 Changes in Legal Status:

The seller is obligated to notify Bliyt within 5 business days of any change in its legal status — dissolution, insolvency, merger, change of legal form, or any other circumstance affecting its ability to fulfill its contractual obligations. Bliyt reserves the right to immediately suspend or terminate the seller account in such situations, without any right to compensation for ongoing commissions or campaigns (pursuant to § 314 BGB — extraordinary termination).

2. Effective Date

This agreement enters into force on the date on which the seller is officially accepted onto the Bliyt platform, from which point all contractual rights and obligations become applicable to both parties.

📩 Confirmation of Acceptance:

Official acceptance is confirmed by a written notification sent by Bliyt to the seller's registered email address (pursuant to § 130 BGB — the moment at which a declaration of intent takes effect). The notification will include:

  • Confirmation of the activation of the seller account
  • The official date on which the agreement enters into force
  • The access link to the Bliyt administration panel

⏳ Processing Period:

Bliyt will review the registration application and provide a response within 24-48 hours of the submission of complete documentation. During this period, the seller's account remains inactive and does not generate any contractual rights or obligations.

🚫 Rejection of Application:

Bliyt reserves the right to reject any registration application that does not meet the eligibility criteria, without any obligation to provide reasons for such decision (pursuant to § 145 BGB — contractual offer). In the event of rejection, the seller will be notified in writing within 24-48 hours.

🔄 Contract Renewal:

The agreement is automatically renewed at the end of each contractual period, unless one of the parties submits a written termination notice at least 30 days prior to the expiration of the current period.

3.Commissions & Payments 

Commissions established at the time of signing the agreement are fixed and guaranteed for the entire duration of the current contract and cannot be unilaterally modified by Bliyt during the ongoing contractual period.

🔄 Commission Updates Upon Renewal:

Upon renewal of the agreement, Bliyt reserves the right to update the commission structure, provided that a written notice is submitted at least 60 days prior to the renewal date. The seller has the right to refuse renewal under the new conditions, without penalty, by submitting a written notice within 15 days of receiving Bliyt's notification.

💳 Payment Method and Terms:

Commissions due to the seller are paid as follows:

  • Frequency: monthly, for all validated sales from the previous month
  • Processing period: 2–4 weeks from the end of the reference month
  • Minimum threshold: no minimum payment threshold applies
  • Payment method: bank transfer to the account details provided by the seller at registration

⚠️ Late Payments:

Late payments by Bliyt shall incur statutory default interest calculated pursuant to (§ 288 BGB — default interest for commercial transactions):

  • 9 percentage points above the base rate of the European Central Bank (ECB)
  • Interest accrues automatically from the due date, without the need for any additional notice
  • The seller is entitled to claim additional damages if the loss exceeds the amount of statutory interest (pursuant to § 288 para. 4 BGB)

📩 Payment Disputes:

If the seller considers a payment to be incorrect or incomplete, they are obligated to notify Bliyt in writing within 30 days of receiving the payment. Upon expiration of this period, the payment shall be deemed tacitly accepted.

4. Products, Logistics & Standards 

Bliyt assumes full operational responsibility for all products listed on the platform by the seller. The seller does not manage anything directly with the end customer — the entire operational flow is handled exclusively by Bliyt.

🎯 Complete Services Provided by Bliyt:

Bliyt commits to fully providing the following services for each active seller on the platform:

📦 Logistics & Warehousing:

  • Reception and storage of products under appropriate conditions, in accordance with the technical specifications of each product
  • Premium packaging of orders in accordance with Bliyt's visual standards and shipping requirements
  • Dispatch of orders within the timeframes communicated to customers at the time of placing the order
  • Order tracking and real-time communication of delivery status
  • Management of returns and logistics-related complaints from customers

📣 Marketing Campaigns & Promotion:

  • Creation and management of marketing campaigns for the seller's products on agreed platforms
  • Coordination of collaborations with Bliyt affiliates for the promotion of the seller's products
  • Production or supervision of promotional materials in accordance with Bliyt's premium standards
  • Periodic performance reporting on campaign results and outcomes

🎁 Premium Packaging:

  • Packaging of each order in accordance with Bliyt's premium visual standards
  • Use of eco-friendly, high-quality packaging materials
  • Customization of packaging in line with Bliyt's visual identity

🎧 Customer Support:

  • Full management of communication with end customers — inquiries, complaints, and returns
  • Support provided in German as the primary language, and in English for international customers
  • Processing of returns and refunds in accordance with Bliyt's policy and applicable legislation (pursuant to § 357 BGB — effects of exercising the right of withdrawal)

✅ Product Compliance — Seller Obligations:

All products listed on the Bliyt platform must cumulatively meet the following conditions:

  • Be compliant with applicable EU regulations and directives for the relevant product category
  • Hold the mandatory certifications required by European and German legislation (CE, REACH, RoHS, etc.)
  • Originate from legal and verifiable sources, without infringing the intellectual property rights of third parties
  • Comply with the Produktsicherheitsgesetz (ProdSG) — the German Product Safety Act

⚖️ Seller Warranties:

The seller expressly warrants that:

  • They hold full legal rights to the products offered for sale
  • They hold intellectual property rights over the images, descriptions, and visual materials used
  • The products do not infringe third-party trademark rights (pursuant to § 14 MarkenG)
  • All information provided about the products is accurate, complete, and up to date

🎨 Bliyt Quality Standards:

Visual materials and product descriptions must comply with Bliyt's premium standards, including:

  • High-resolution images on a neutral background or in accordance with Bliyt's visual guidelines
  • Clear, grammatically correct descriptions written in a professional tone
  • Complete technical information — dimensions, materials, usage instructions

Bliyt reserves the right to reject or withdraw any product that does not meet these standards, with written notification to the seller within 5 business days. The seller has 10 business days to remedy the identified non-conformities, after which Bliyt may permanently withdraw the product from the platform.

🛡️ Bliyt's Logistics Liability:

Bliyt is liable for any damage or loss of products in its custody, from the moment of reception until delivery to the end customer (pursuant to § 280 BGB). In the event of damage or loss:

  • The seller will be compensated at the replacement value of the product
  • Compensation is granted on the basis of supporting documents provided by the seller
  • The compensation processing period is a maximum of 15 business days from confirmation of the incident

🚫 Limits of Bliyt's Liability:

Bliyt is not liable for damage or loss caused by:

  • Inadequate packaging of products by the seller prior to handover to Bliyt
  • Force majeure — as defined in the Force Majeure Clause of this agreement
  • Incorrect information provided by the seller regarding the nature or storage requirements of the product

5. Pricing Policy

The seller has full freedom to set and adjust product prices at any time, provided that the market balance of the Bliyt platform and the principles of fair competition are respected.

✅ Seller's Pricing Rights:

  • The seller may modify prices at any time, without requiring prior approval from Bliyt
  • Price changes take effect immediately upon updating in the Bliyt administration panel
  • The seller may apply temporary promotional prices within campaigns agreed upon with Bliyt

🚫 Prohibited Pricing Practices:

The following pricing practices are strictly prohibited on the Bliyt platform:

Unjustified Overpricing:

  • Prices disproportionately high compared to similar market offerings, without an objective justification based on quality, uniqueness, or added value
  • Prices that may mislead customers regarding the actual value of the product (pursuant to § 5 UWG — misleading advertising)

Dumping Prices:

  • Prices artificially low, set with the intent to eliminate competition or destabilize the market balance of the platform
  • Prices below the production or acquisition cost of the product, which may affect the sustainability of the platform (pursuant to § 20 GWB — prohibition of anti-competitive practices)

⚖️ Price Monitoring by Bliyt:

Bliyt reserves the right to monitor prices listed on the platform and to notify the seller upon identifying any non-compliant pricing. In the event of a price deemed non-compliant, Bliyt will:

  1. Submit a written notification to the seller within 5 business days
  2. Grant the seller a period of 3 business days to adjust the price
  3. In the event of non-compliance, Bliyt may temporarily suspend the product listing until the situation is remedied

📊 Recommended Prices:

Bliyt may provide the seller with price recommendations based on market analysis and customer behavior, without these being mandatory. These recommendations are intended to optimize sales and maintain the competitiveness of products on the platform.

6. Contract & Termination of Collaboration 

The collaboration between the seller and Bliyt is based on an agreement with a minimum duration of 1 year (pursuant to § 620 BGB — service contract). The agreement enters into force on the date of official confirmation of the seller's acceptance onto the platform and is automatically renewed, unless one of the parties submits a written termination notice at least 30 days prior to the expiration of the current period.

🟢 Trial Period — First 3 Months:

During the first 3 months of collaboration, the seller benefits from a trial period during which they may decide to terminate the collaboration without financial penalty, provided that:

  • written notice is submitted to Bliyt at least 14 days before the desired termination date
  • The seller assumes full responsibility for shipping costs for the retrieval of products stored in Bliyt's warehouse
  • All outstanding commissions for sales made up to the termination date are paid in full

🔴 Early Withdrawal — After the First 3 Months:

After the expiration of the trial period, early withdrawal from the agreement entails:

  • Payment of a contractual penalty equivalent to the sum of subscription fees corresponding to the remaining months until the end of the contract
  • Assumption of shipping costs for the retrieval of products from Bliyt's warehouse
  • Full payment of all outstanding commissions for sales made up to the termination date

⚡ Extraordinary Termination — For Both Parties:

Extraordinary termination (außerordentliche Kündigung) remains available to both parties in the event of a serious breach of contractual obligations (pursuant to § 314 BGB — termination of continuing obligations), including but not limited to:

  • Fraud, deception, or willful misconduct
  • Repeated violation of Bliyt's quality standards
  • Non-payment of commissions or contractual penalties
  • Listing of non-compliant or illegal products on the platform

📩 Extraordinary Termination Procedure:

  1. The party invoking extraordinary termination submits a written notice to the other party, specifying the contractual breach
  2. The notified party has 14 business days to remedy the identified breach
  3. If the breach is not remedied within the allotted period, the agreement terminates by operation of law upon expiration of the 14 days
  4. In the event of extraordinary termination due to the seller's fault, Bliyt reserves the right to retain outstanding commissions as damages (pursuant to § 280 BGB)

📦 Termination Procedure:

Regardless of the reason for termination, the seller is obligated to:

  • Collect products from Bliyt's warehouse within 30 days of the termination date
  • Pay all outstanding financial obligations to Bliyt in full
  • Cease use of any materials, logos, or visual identity elements belonging to Bliyt

Products not collected within the 30-day period will be returned to the seller at their expense or, in the event of refusal, will be handled in accordance with applicable legislation on abandoned goods.

7. Returns & Warranty

Bliyt manages all returns and customer complaints in full, without any direct involvement of the seller in communication with the end customer.

🔄 Return Policy:

End customers are entitled to:

  • 30-day return window from the date of receipt of the product, in accordance with Bliyt's commercial policy
  • 2-year legal warranty for hidden defects and product non-conformities (pursuant to § 437 BGB — buyer's rights in the event of a defect), calculated from the date of delivery

💳 Refund Process:

  1. The customer initiates the return through the Bliyt platform
  2. Bliyt verifies and confirms the return within 5 business days
  3. Bliyt refunds the customer in full within 14 days of return confirmation (pursuant to § 357 BGB)
  4. Where the return is attributable to the seller, Bliyt recovers the amount from the seller within 30 days of return confirmation, by deduction from upcoming commissions or by direct payment request

⚠️ Returns Attributable to the Seller:

Returns are considered attributable to the seller in the following situations:

  • The delivered product does not match the description or specifications listed by the seller
  • The product presents manufacturing defects or hidden defects
  • The seller provided incorrect information about the product at the time of listing
  • The product does not comply with the declared EU conformity standards

In these cases, the seller bears the full cost of the return and the refund amount, which will be deducted from commissions due or invoiced separately.

🎁 Loss of Rewards Upon Return:

Customers who initiate a return automatically and irrevocably lose:

  • Participation in active prize draws at the time of the return
  • Prizes and rewards accumulated within the campaign associated with the returned order
  • Any promotional benefits obtained as a result of the returned order

This policy is communicated to customers transparently at the time of placing the order and upon initiating the return.

📊 Returns Reporting:

Bliyt will provide the seller with a monthly report of returns recorded for their products, including the reasons for return and the financial impact, to enable the seller to improve product quality and descriptions.

8. Conduct, Ethics & Affiliate Relations 

The seller commits to not redirecting Bliyt customers to channels outside the platform — including their own stores, other e-commerce platforms, social media, or any other direct or indirect sales channel.

🚫 Strictly Prohibited Practices:

The following actions are considered serious breaches of this agreement and constitute grounds for immediate termination without right to compensation:

  • Inserting external links to own stores or other platforms in product descriptions, images, or promotional materials listed on Bliyt
  • Including direct contact details (email, phone, WhatsApp, etc.) in packages shipped to Bliyt customers, with the intent of attracting direct orders
  • Offering discounts or incentives to Bliyt customers to purchase directly, bypassing the platform
  • Using Bliyt customer data (names, addresses, emails) for own marketing purposes (pursuant to GDPR — unlawful processing of personal data)
  • Any other attempt to divert traffic or customers away from the Bliyt platform

Any attempt to redirect customers outside the platform is considered contractual fraud and entitles Bliyt to claim damages (pursuant to § 280 BGB).

🤝 Relationship with Bliyt Affiliates:

Direct contact with Bliyt affiliates for the purpose of negotiating separate terms, individual commissions, or collaborations outside the platform is strictly prohibited. This prohibition covers:

  • Direct negotiation of commissions or rates with Bliyt affiliates
  • Offering free products, gifts, or benefits to Bliyt affiliates in exchange for promotion outside the platform
  • Contacting Bliyt affiliates through private channels (DM, email, phone) for commercial purposes

✅ Collaboration with External Affiliates:

The seller has the right to collaborate with own or external affiliates, provided that they operate exclusively through the Bliyt platform and comply with the terms and conditions of the Bliyt affiliate program. Any collaboration with external affiliates that bypasses the Bliyt platform is considered a breach of this agreement.

⚡ Consequences of Breach:

In the event of any breach of this clause, Bliyt has the right to:

  1. Immediately suspend the seller account, without prior notice
  2. Terminate the agreement with immediate effect, without right to compensation (pursuant to § 314 BGB)
  3. Retain all outstanding commissions as damages
  4. Claim additional damages for the commercial harm caused to the platform and affiliates (pursuant to § 280 BGB)

9. Brand Protection & Legal Liability

The seller commits to not disparaging, discrediting, or spreading false information about Bliyt, its platform, affiliates, partners, or team — neither during the collaboration nor after its termination, on any communication channel, including but not limited to:

  • Social media — Instagram, Facebook, TikTok, LinkedIn, X (Twitter), etc.
  • Public reviews on third-party platforms — Google, Trustpilot, App Store, etc.
  • Private defamatory communications transmitted to third parties
  • Public statements, interviews, or press articles
  • Private groups or online communities

⚖️ Legal Liability for Disparagement:

Any breach of this clause shall result in the full legal liability of the seller, pursuant to:

  • (§ 823 BGB — tortious liability) — for damage caused to Bliyt's reputation or commercial activity
  • (§ 826 BGB — damage caused with intent contrary to public policy) — for deliberate acts of discrediting
  • (§ 4 UWG — acts of unfair competition) — where the disparagement is intended to affect Bliyt's commercial position on the market

In the event of a confirmed breach, Bliyt has the right to demand:

  1. Immediate cessation of the disparaging behavior
  2. Public retraction of false statements, on the same channel on which they were published
  3. Damages for the reputational and commercial harm caused (pursuant to § 249 BGB — full compensation for damages)
  4. Immediate termination of the agreement, without right to compensation (pursuant to § 314 BGB)

🛡️ Limitation of Bliyt's Liability:

Bliyt's liability towards the seller is limited to the total value of commissions paid to the seller in the 6 months preceding the damaging event, regardless of the nature or extent of the claimed damages.

This limitation does not apply in cases of:

  • Willful misconduct — intentional acts or omissions by Bliyt (pursuant to § 276 BGB)
  • Gross negligence — serious breaches of the duty of care (pursuant to § 276 BGB)
  • Personal injury or damage to health caused by Bliyt's fault
  • Mandatory liability by law — cases where limitation of liability is prohibited by applicable legislation

📩 Damage Notification Procedure:

In the event that the seller considers they have suffered damages due to Bliyt's fault, they are obligated to submit a detailed written notification within 30 days of becoming aware of the damage. Notifications submitted after the expiration of this period may be rejected by Bliyt as time-barred.

10. Contractual Confidentiality

  • Financial terms and conditions of this agreement — commissions, rates, plan structures
  • Bliyt's commercial and marketing strategies
  • Affiliate data — identity, performance, collaboration terms
  • Customer data — pursuant to GDPR, any personal data of Bliyt customers
  • Technical information about the Bliyt platform — features, algorithms, internal systems
  • Bliyt's financial data — turnover figures, margins, cost structures
  • Any other information explicitly marked as "Confidential" by Bliyt

🚫 Disclosure Prohibitions:

Disclosure of confidential information to third parties is strictly prohibited, including to:

  • Direct or indirect competitors of Bliyt
  • Other sellers or affiliates of the platform
  • The seller's business partners, without Bliyt's prior written consent
  • Public communication channels — press, social media, forums, etc.

⚡ Consequences of Confidentiality Breach:

Any unauthorized disclosure of confidential information constitutes grounds for immediate termination of the agreement (pursuant to § 314 BGB) and entitles Bliyt to demand:

  1. Immediate cessation of the disclosure and withdrawal of the information from circulation
  2. Damages for the commercial and reputational harm caused (pursuant to § 280 BGB — liability for breach of obligations)
  3. Additional damages where the loss exceeds the value of contractual commissions (pursuant to § 249 BGB)
  4. Application of a contractual penalty of a minimum of €10,000 per incident of unauthorized disclosure, without the need to prove specific damages (pursuant to § 339 BGB — penalty clause)

✅ Exceptions to the Confidentiality Obligation:

The confidentiality obligation does not apply where:

  • The information is already publicly available through other means, without fault on the part of the seller
  • Disclosure is required by a legal obligation or court order — the seller will notify Bliyt in writing prior to disclosure, where permitted by law
  • Bliyt has given its prior written consent to the disclosure of the relevant information

📩 Breach Notification:

In the event that the seller becomes aware of an unauthorized disclosure of confidential information — including through the fault of an employee or partner — they are obligated to notify Bliyt in writing within 48 hours of becoming aware of the breach.

11. Non-Competition

During the collaboration with Bliyt, the seller commits to not listing or selling the same products registered on the Bliyt platform on any competing platform, without Bliyt's prior written consent.

📍 Geographic Limitation:

This non-competition clause applies exclusively to the German market, as Bliyt's primary market. In the event that Bliyt expands to additional European markets, the seller will be notified in writing, and the clause will automatically extend to cover the new markets activated by Bliyt, with 30 days' notice.

The seller remains free to sell products on any market outside Germany, without restrictions from Bliyt, as long as Bliyt is not active on those markets.

⏳ Temporal Limitation:

The non-competition clause is valid exclusively for the duration of the active agreement with Bliyt and automatically ceases on the date of termination of the collaboration, without any additional obligations for the seller (in accordance with the principles of proportionality provided by German case law — § 138 BGB — nullity of abusive clauses).

🚫 Platforms Subject to the Prohibition:

The following are considered competing platforms on the German market, without limitation:

  • General marketplaces — Amazon.de, eBay.de, Otto.de, Zalando.de, etc.
  • The seller's own e-commerce platforms with delivery to Germany
  • Other multi-vendor platforms active on the German market
  • Social media used as a direct sales channel to customers in Germany — Instagram Shop, TikTok Shop, Facebook Marketplace, etc.

✅ Exceptions — With Bliyt's Written Consent:

The seller may list the same products on competing platforms active in Germany, provided that Bliyt's prior written consent is obtained. The approval request must include:

  • The name of the platform and the product category concerned
  • The prices applied on the competing platform

Bliyt will respond to the request within 10 business days. The absence of a response within this period does not constitute tacit approval.

⚡ Consequences of Breach:

In the event of a confirmed breach of this clause, Bliyt has the right to:

  1. Demand immediate removal of the listing from the competing platform
  2. Suspend or terminate the agreement with immediate effect (pursuant to § 314 BGB)
  3. Claim damages for the commercial harm caused (pursuant to § 280 BGB)
  4. Apply a contractual penalty of a minimum of €5,000 per product listed without authorization on competing platforms (pursuant to § 339 BGB)

⚖️ Proportionality of the Clause:

This clause has been drafted in strict compliance with the principle of proportionality provided by German case law, being limited geographically to the German market, temporally to the duration of the agreement, and materially to the products listed on Bliyt, so as not to constitute an abusive restriction of the seller's commercial freedom (pursuant to § 138 BGB).

12. Amendment of Terms

Bliyt reserves the right to modify the terms and conditions of this agreement at any time, provided that a written notice is submitted at least 30 days prior to the entry into force of the modifications (pursuant to § 305 BGB — requirements regarding general contractual terms).

📩 Modification Notification Procedure:

Bliyt will notify the seller of any modifications via:

  • Email to the seller's registered address
  • Notification in the Bliyt administration panel
  • Publication of the updated version on the Bliyt platform, with clear marking of the changes compared to the previous version

The notification will specify:

  • The nature of the modifications made
  • The date of entry into force of the new conditions
  • The seller's right to refuse the modifications and terminate the agreement without penalty

✅ Implicit Acceptance of New Conditions:

Continuation of the collaboration after the expiration of the 30-day notice period constitutes the seller's implicit acceptance of the new conditions, without the need for any additional confirmation (pursuant to § 305 BGB).

🚪 Right to Terminate Without Penalty:

In the event that the seller does not accept the proposed modifications, they have the right to terminate the agreement without financial penalty, provided that:

  • written termination notice is submitted to Bliyt within the 30-day period from receipt of the modification notification
  • All outstanding commissions for sales made up to the termination date are paid in full
  • The standard termination procedure set out in this agreement is followed

⚠️ Major Impact Modifications:

In the case of modifications affecting the commission structure, the duration of the agreement, or the seller's financial obligations, Bliyt commits to submitting the notification at least 60 days prior to the entry into force of the modifications, providing the seller with an extended period to make an informed decision.

📋 Version History:

Bliyt will maintain a version history of the terms and conditions, accessible to sellers in the administration panel, to allow comparison of the current version with previous versions.

13.Right to Use Content 

The seller grants Bliyt a non-exclusive, limited, and revocable license to use the content provided — including images, product descriptions, video materials, logos, and any other promotional materials — exclusively for the purpose of promoting the seller's products on agreed marketing platforms, at no additional cost to Bliyt.

📣 Targeted Marketing Platforms:

The seller's content may be used by Bliyt exclusively on the following channels:

  • Meta — Facebook Ads, Instagram Ads, Facebook Marketplace
  • TikTok — TikTok Ads, TikTok Shop
  • Google — Google Ads, Google Shopping, Display Network
  • Pinterest, YouTube, and other platforms agreed upon in writing by both parties
  • Bliyt platform — product pages, internal campaigns, Bliyt newsletter

✅ Rights Granted to Bliyt:

Under this license, Bliyt has the right to:

  • Use the seller's content in paid and organic marketing campaigns
  • Adapt visual materials to the specific formats of each platform (dimensions, formats, video durations) — without altering the substance or original message
  • Combine the seller's content with Bliyt brand visual elements, in accordance with the platform's premium standards

🚫 Strict Restrictions for Bliyt:

Bliyt does not have the right to:

  • Assign, sell, or transfer the seller's content to third parties without the seller's prior written consent
  • Use the seller's content for the promotion of other sellers or products on the platform
  • Modify the seller's content in a way that affects the image or reputation of the seller's brand
  • Use the seller's content for Bliyt's own commercial purposes, outside of the direct promotion of the seller's products

⏳ Termination of License:

The license granted to Bliyt automatically ceases on the date of termination of the collaboration. Within 30 days of the termination date, Bliyt commits to:

  • Stopping all active campaigns using the seller's content
  • Withdrawing the seller's content from all marketing platforms
  • Deleting or archiving the seller's materials from Bliyt's internal systems

Bliyt is not liable for materials organically distributed by third parties (shares, reposts) prior to the termination date, as these are outside the platform's direct control.

📋 Content Ownership:

The seller remains the exclusive owner of all intellectual property rights over the content provided, including after the termination of the collaboration. This license does not transfer any ownership rights to Bliyt (pursuant to § 31 UrhG — granting of usage rights).

14.Immediate Termination by Bliyt

Bliyt may terminate the agreement immediately and without penalty in the event of any serious breach of the seller's contractual obligations (pursuant to § 314 BGB — extraordinary termination of continuing obligations).

⚡ Grounds for Immediate Termination:

The following situations constitute grounds for immediate termination, without right to compensation or a remediation period:

🚨 Fraud and Willful Misconduct:

  • Providing false information at registration or during the collaboration
  • Manipulation of sales data, orders, or reviews
  • Any form of financial fraud against Bliyt, customers, or affiliates
  • Use of the Bliyt platform for money laundering or illegal activities

🚫 Listing of Illegal or Non-Compliant Products:

  • Listing of counterfeit or pirated products (pursuant to § 14 MarkenG)
  • Products that violate EU safety standards or applicable directives
  • Products prohibited by law on German or European territory
  • Products that do not hold the mandatory certifications declared at registration

📣 Disparagement of the Platform:

  • Spreading false or defamatory information about Bliyt on any public or private channel (pursuant to § 823 and § 826 BGB)
  • Deliberate acts of discrediting the platform, Bliyt affiliates, or partners
  • Abusive or harassing behavior towards the Bliyt team, affiliates, or customers

🔒 Breach of the Non-Competition Clause:

  • Listing products on competing platforms on the German market without Bliyt's written consent
  • Direct contact with Bliyt affiliates for the purpose of negotiating separate terms
  • Redirecting Bliyt customers to channels outside the platform

🔐 Breach of Confidentiality:

  • Disclosure of Bliyt's contractual or commercial information to third parties
  • Use of Bliyt customer data for own purposes, in violation of GDPR

📩 Immediate Termination Procedure:

Upon confirmation of a ground for immediate termination, Bliyt will:

  1. Immediately suspend the seller's access to the Bliyt administration panel
  2. Send a written termination notice to the seller's registered email address within 24 hours of the suspension
  3. Initiate the retrieval of products from Bliyt's warehouse, at the seller's expense
  4. Retain all outstanding commissions as provisional damages, pending clarification of the situation

💰 Financial Consequences of Immediate Termination:

In the event of immediate termination due to the seller's fault, Bliyt has the right to:

  1. Retain all outstanding commissions as damages (pursuant to § 280 BGB)
  2. Claim additional damages for the commercial and reputational harm caused (pursuant to § 249 BGB)
  3. Apply the contractual penalties provided in the relevant clauses of this agreement
  4. Report to the competent authorities in the event of activities of a criminal nature

🔄 Seller's Right to Appeal:

The seller has the right to appeal the termination decision within 14 days of receiving the written notification, by submitting a reasoned appeal to bliyt@bliyt.de. Bliyt will review the appeal and respond within 10 business days.

15. Contract Renewal

60 days prior to the expiration of the agreement, Bliyt will send the seller a written renewal notification to the registered email address, containing:

  • The exact expiration date of the current agreement
  • The conditions applicable for the renewal period
  • The deadline for submitting a response

⏳ Response Period — 30 Days:

The seller has 30 days from receipt of the notification to submit a written response regarding their intention to renew or terminate the collaboration.

🔄 Automatic Renewal:

If the seller does not submit an explicit written refusal within the 30-day period, the agreement is automatically renewed for a period identical to the previous one, under the same contractual and financial conditions. The automatic renewal takes effect on the expiration date of the current agreement, without the need to sign an addendum.

🚪 Refusal of Renewal:

To avoid automatic renewal, the seller must submit an explicit written refusal to bliyt@bliyt.de within the 30-day period from receipt of the notification, specifying:

  • A clear intention not to renew the agreement
  • The desired termination date of the collaboration
  • The agreed method for retrieving products from Bliyt's warehouse

⚠️ Response Submitted After the 30-Day Period:

In the event that the seller submits the renewal refusal after the expiration of the 30-day period, they are obligated to pay a one-month advance equivalent to the monthly subscription fee for their plan, as a measure to protect Bliyt's operational costs committed for the renewal period. This amount:

  • Is non-refundable in the event that the seller confirms termination of the collaboration
  • Will be deducted from the seller's outstanding commissions, if these cover the amount owed
  • Will be invoiced separately in the event that outstanding commissions do not cover the amount owed, with a 14-day payment term

📋 Modifications to Conditions Upon Renewal:

In the event that Bliyt intends to modify the contractual conditions for the renewal period, these will be explicitly communicated in the renewal notification sent 60 days prior to expiration. The seller has the right to refuse renewal under the new conditions without penalty, provided that the refusal is submitted within the 30-day period.

16.Official Communication

Verbal communications — including telephone conversations, in-person meetings, or audio messages — have no contractual value and cannot be invoked in the context of a dispute or mediation proceedings, regardless of their content.

✅ Requirements for a Valid Official Communication:

To be considered contractually valid, a written communication must contain:

  • Identity of the sender — name, company name, contact details
  • Subject of the communication — clearly and explicitly formulated
  • Date of transmission — which marks the moment from which contractual deadlines begin to run
  • Electronic signature or full name of the authorized representative

⏳ Moment of Effect:

An official communication produces legal effects from the moment it reaches the recipient (pursuant to § 130 BGB — the moment at which a declaration of intent takes effect), namely:

  • Email — on the date and time of confirmed delivery to the recipient's inbox
  • Bliyt platform — on the date and time of registration in the platform's system
  • Registered letter — on the date of confirmed receipt by the recipient

📋 Archiving of Communications:

Both parties are obligated to archive all official communications for the duration of the agreement and for a minimum of 3 years after its termination, so that they may be used as evidence in the event of a dispute (pursuant to § 147 AO — archiving obligation).

17. Privacy & Data 

The seller has no access to the personal data of Bliyt customers. All personal information of customers is managed exclusively by Bliyt, in its capacity as Data Controller, in accordance with:

  • GDPR — EU Regulation 2016/679 on the protection of personal data
  • BDSG — Bundesdatenschutzgesetz (German Federal Data Protection Act)

🔒 Data to Which the Seller Has No Access:

The seller will have no access, under any circumstances, to:

  • Customer identification data — first name, last name, email address, phone number
  • Delivery addresses and billing data of customers
  • Financial data — payment methods, individual transaction history
  • Behavioral data — order history, preferences, and purchasing behavior of individual customers
  • Any other information that allows the direct or indirect identification of a customer

📊 Data to Which the Seller Has Access:

The seller will receive exclusively aggregated and anonymized data regarding the performance of their products, including:

  • Total number of orders and sales for their products
  • Performance statistics — conversion rate, number of views, return rate
  • Financial reports on commissions generated and payments processed

🚫 Strict Prohibitions for the Seller:

The seller commits to not requesting, collecting, or processing in any way the personal data of Bliyt customers, including through:

  • Inserting data collection forms in packages shipped to customers
  • Using delivery data to directly contact customers
  • Any other method of intercepting or collecting Bliyt customer data

Any breach of this clause constitutes a serious violation of GDPR and entitles Bliyt to the immediate termination of the agreement (pursuant to § 314 BGB), as well as to reporting to the competent Data Protection Supervisory Authority (Datenschutzaufsichtsbehörde).

⚖️ Liability for GDPR Breach:

In the event that the seller unlawfully processes personal data of Bliyt customers, they assume full legal and financial liability for:

  • GDPR fines imposed by the competent authorities — up to €20 million or 4% of annual global turnover (pursuant to Art. 83 GDPR)
  • Damages claimed by affected customers
  • Reputational harm caused to the Bliyt platform

18. Seller's Intellectual Property

The seller remains the exclusive owner of all intellectual property rights over the products, trademarks, images, descriptions, and any other original creations used in the course of the collaboration with Bliyt — both during the term of the agreement and after its termination.

📋 Nature of the License Granted to Bliyt:

The rights granted to Bliyt under the Content Usage Clause are:

  • Non-exclusive — the seller may grant similar rights to other partners, in compliance with the non-competition clause
  • Limited — exclusively for the purpose of promoting and selling the seller's products on the Bliyt platform and agreed marketing channels
  • Revocable — the license automatically ceases on the date of termination of the collaboration, without the need for any additional notification

🚫 Strict Restrictions for Bliyt:

Bliyt will not register, claim, sublicense, or use in any way the seller's trademark, logo, trade name, or any other intellectual property element outside the express contractual purpose provided, including:

  • Registering the seller's trademark or similar trademarks in its own name (pursuant to § 14 MarkenG — protection of registered trademarks)
  • Claiming rights over content created by the seller
  • Using the seller's IP for the promotion of other sellers or products on the platform
  • Any use of the seller's trademark after termination of the collaboration, beyond the 30-day period provided for the withdrawal of materials

⚖️ Liability for Intellectual Property Infringement:

Any use of the seller's intellectual property beyond the limits established in this agreement constitutes an intellectual property infringement and entitles the seller to:

  • Immediate cessation of unauthorized use, by written notice
  • Damages for the commercial and reputational harm caused (pursuant to § 97 UrhG — claims in the event of copyright infringement)
  • Trademark infringement liability (pursuant to § 14 MarkenG) — including the right to compensation and publication of the court ruling
  • Reporting to the competent authorities in the event of infringements of a criminal nature (pursuant to § 143 MarkenG — trademark offences)

🔄 Bliyt's Obligations Upon Termination:

Upon termination of the collaboration, Bliyt commits to:

  • Immediately ceasing any use of the seller's trademark and IP
  • Withdrawing all seller materials from marketing platforms within 30 days
  • Deleting or archiving the seller's content from Bliyt's internal systems, in accordance with the data retention policy

📋 Notification of Infringements:

In the event that the seller identifies an unauthorized use of their intellectual property by Bliyt, they are obligated to submit a written notification to bliyt@bliyt.de, specifying the nature of the infringement and requesting remediation within 10 business days.

19. Force Majeure

Neither party shall be held liable for the failure to fulfill contractual obligations caused by a force majeure event — any unforeseeable, unavoidable event beyond the control of the parties (pursuant to § 275 BGB — impossibility of performance and § 313 BGB — disruption of the basis of the contract).

📋 Force Majeure Events — Definition:

The following are considered force majeure events, without limitation:

  • Pandemics or public health emergencies declared by competent authorities
  • Natural disasters — earthquakes, floods, large-scale fires, severe storms
  • Armed conflicts — wars, terrorist attacks, large-scale civil unrest
  • Government decisions — legislative prohibitions, embargoes, platform suspensions
  • Critical infrastructure failures — prolonged power outages, cyberattacks on essential infrastructure
  • General strikes affecting sectors essential to the performance of contractual activities

📩 Notification Obligation:

The party affected by the force majeure event is obligated to notify the other party in writing within 5 business days of the occurrence of the event, specifying:

  • The nature and description of the force majeure event
  • The estimated duration and impact on contractual obligations
  • The measures taken to limit the effects of the event

Failure to comply with the notification obligation within the prescribed period may result in the loss of the right to invoke force majeure as a ground for exemption from liability.

⏳ Suspension of Contractual Obligations:

During the force majeure event, the affected obligations of the notifying party are suspended, without generating penalties or default interest. Financial obligations already due prior to the event remain enforceable.

🚪 Termination Without Penalty:

If the force majeure situation persists for more than 60 consecutive days, either party may terminate the agreement without penalty, by submitting a written notice with immediate effect. In this case:

  • Commissions for campaigns completed and validated prior to the termination date will be paid in accordance with standard terms
  • Products held in Bliyt's warehouse will be returned to the seller within 30 days, at the seller's expense
  • Neither party shall owe the other damages for obligations not fulfilled due to force majeure

🔄 Resumption of Obligations:

Following the cessation of the force majeure event, the affected party is obligated to resume the performance of contractual obligations within 10 business days and to notify the other party in writing of the resumption of normal activity.

20.Dispute Resolution & Mediation

Prior to resorting to judicial proceedings, both parties commit to attempting the amicable resolution of any dispute arising from or in connection with this agreement, through a structured mediation procedure (pursuant to § 278 ZPO — mediation and alternative dispute resolution).

📩 Dispute Notification:

The party initiating the dispute resolution procedure must submit a written notification to the other party at bliyt@bliyt.de, specifying:

  • The nature and subject of the dispute
  • The amount claimed, if applicable
  • The proposed solution and the requested response deadline

The other party has 10 business days to respond in writing to the notification.

🤝 Mediation Procedure:

If the parties fail to reach an agreement through direct negotiation within 30 calendar days of the written dispute notification, they commit to submitting the dispute to a certified mediator, agreed upon by mutual consent. The mediation will take place:

  • In German as the primary language, or in English by agreement of both parties
  • At Bliyt's registered office in Stetten am Kalten Markt or by electronic means, by agreement of both parties

Mediation costs will be shared equally between the parties, unless otherwise agreed.

⚖️ Judicial Proceedings:

If mediation fails to resolve the dispute within 60 calendar days of the initial notification, either party may resort to judicial proceedings before the competent courts. Pursuant to the Jurisdiction Clause, the competent court is Amtsgericht Sigmaringen, as the court at Bliyt's registered office (pursuant to § 38 ZPO), and the applicable law is German law.

📋 Continuation of Obligations During the Dispute:

During the mediation or judicial procedure, both parties commit to continuing the performance of contractual obligations unaffected by the dispute, in order to minimize operational and commercial disruptions.

21.Official Language

This agreement is drafted in German and English, both versions being made available to the seller at the time of signing. In the event of any dispute, ambiguity of interpretation, or contradiction between versions, the German language version prevails and constitutes the contractually binding document with full legal force.

The German language version prevails in all situations, including:

  • Interpretation of contractual clauses in the context of mediation or judicial proceedings
  • Determination of the rights and obligations of the parties in the event of ambiguity
  • Judicial proceedings conducted before the competent German courts
  • Any official communication with German or European authorities

📩 Seller's Responsibility:

The seller confirms that they have read, understood, and accepted the terms of this agreement in the German language version or, in the event that they do not have knowledge of the German language, that they have obtained an authorized translation at their own expense, prior to signing the agreement. Bliyt is not liable for erroneous interpretations of the informative English language version.

🔄 Version Updates:

In the event of modifications to the terms and conditions, Bliyt will simultaneously update both available language versions. In the event of any discrepancy arising from the update, the updated German version prevails immediately, regardless of the date of update of the English language version.

22. Jurisdiction & Applicable Law

This agreement is governed exclusively by German law in force, with the express exclusion of the rules of private international law (IPR — Internationales Privatrecht), including the Rome I Regulation (EU 593/2008) and Rome II (EU 864/2007), to the extent that such exclusion is permitted by applicable law.

⚖️ Applicable Law:

All aspects of this agreement — including its validity, interpretation, performance, and termination — are governed exclusively by:

  • BGB — Bürgerliches Gesetzbuch (German Civil Code)
  • HGB — Handelsgesetzbuch (German Commercial Code)
  • UWG — Gesetz gegen den unlauteren Wettbewerb (Act Against Unfair Competition)
  • GWB — Gesetz gegen Wettbewerbsbeschränkungen (German Competition Act)
  • MarkenG — Markengesetz (German Trademark Act)
  • GDPR and BDSG — for matters relating to the protection of personal data
  • Any other German or European regulation applicable to the subject matter of this agreement

🏛️ Competent Court:

The competent court for the resolution of any dispute arising from or in connection with this agreement is the court at Bliyt's registered office (pursuant to § 38 ZPO — Zivilprozessordnung, German Code of Civil Procedure):

  • Court of first instance: Amtsgericht Sigmaringen
  • Court of appeal: Landgericht Hechingen
  • Language of proceedings: German

This jurisdiction clause applies regardless of the nationality or place of residence of the seller, who expressly accepts the exclusive jurisdiction of the German courts by signing this agreement.

🌍 Sellers Based Outside Germany:

Sellers headquartered outside Germany expressly accept that they:

  • Waive any right to invoke the courts of their country of origin for disputes arising from this agreement
  • Accept the exclusive jurisdiction of the aforementioned German courts
  • Bear the costs of legal representation in Germany, should they choose to be represented locally
  • May be represented in German judicial proceedings by an authorized representative based in Germany

📋 Enforcement of Court Judgments:

Judgments issued by the competent German courts are enforceable throughout all EU member states (pursuant to EU Regulation 1215/2012 — Brussels I bis) and may be enforced in the seller's country of residence through applicable legal procedures.

🤝 Priority of Mediation:

Prior to referring a matter to the competent court, both parties commit to completing the mediation procedure provided for in this agreement, pursuant to the Dispute Resolution Clause.
